The purpose of the company, as a group company of MCH Group AG, is the planning and construction of exhibition and trade fair stands, the construction of event and pavilion structures as well as special projects, the design of interiors of all kinds, and the creation of set designs for the entertainment industry. Furthermore, the company’s purpose includes the sale and rental of exhibition stands, furniture and carpets, as well as the trading and distribution of furniture in the event sector. The company’s purpose also includes the production of graphics in black and white and in color.
The company may act as a general contractor. The company may carry out all transactions and take all measures that are suitable to directly or indirectly promote the company’s purpose, such as acquiring, managing, using, encumbering and disposing of enterprises of all kinds, real estate and intellectual property rights in Switzerland and abroad, establishing branches and agencies, granting loans, managing capital and providing guarantees in favor of affiliated companies.
The company may grant direct or indirect financing to third parties or companies in which it holds a direct or indirect participation, as well as to direct or indirect shareholders or companies in which such shareholders hold a direct or indirect participation, whether by means of loans and/or other financing, with or without consideration. The company may provide security of any kind for its own obligations or for the obligations of the aforementioned persons, including by means of pledges, assignments, fiduciary transfers, guarantees of any kind or offsetting obligations, with or without consideration, even if such financing, security or guarantees are in the exclusive interest of third parties or companies in which it holds a direct or indirect participation, or of direct or indirect shareholders or companies in which such shareholders hold a direct or indirect participation.
